GENERAL CONDITION OF SALE

https://eternalcrafts.pro (hereinafter referred to as “the Website”) is published by the company ARCHITECTS ARTISTS AND ARTISANS LIMITED, company registered in Hongkong under the certificate No.76458760-000-04-24-4(hereinafter referred to as “AAA”). The company’s registered office is in: Flat/RM A 12/F, ZJ300, 300 Lockhart Road, Wan Chai, Hong Kong.

All orders placed on the Website are subject to these General Terms and Conditions of Sale. AAA reserves the right to adapt or modify these terms at any time, with the version of the General Terms and Conditions of Sale applied to any transaction on the Website at the time of the order.

ARTICLE 1 – SCOPE OF APPLICATION – GENERAL PROVISIONS

These general terms and conditions of sale for professional customers (hereinafter referred to as the “General Conditions”) apply without restriction or reservation to all sales contracts covering one or more pieces of furniture or decorative items (hereinafter referred to as “Product” or “Products”) marketed by ARCHITECTS ARTISTS AND ARTISANS LIMITED (hereinafter “AAA”), Company Limited by Shares registered in Hong Kong under Certificate No. 76458760-000-04-24-4 for professional usage .

The General Conditions are concluded with any companies who are in contact with AAA with the purpose to purchase one or more goods (hereinafter referred to as the “Customer”).

These General Conditions shall prevail over any other document. No special condition can prevail over the general sales conditions without formal and written acceptance on the part of AAA.

 

ARTICLE 2 – ENFORCEABILITY OF THE GENERAL CONDITIONS

Placing an order with AAA implies full and unreserved adherence to these General Conditions of Sale. In the absence of acceptance, no order can be finalized, and no Product can be purchased by the Customer. The Customer acknowledges being fully informed that their agreement regarding the content of these General Conditions does not require the handwritten signature of this document but results from their sole order placement. The Customer has the option to save and reproduce these General Conditions of Sale.

The sales contract between the Customer and AAA includes these General Conditions and the order confirmation signed by both parties.

 

ARTICLE 3 – AMENDMENT OF THE GENERAL CONDITIONS

AAA reserves the right to modify these General Conditions at any time. The version of the General Conditions applicable to the sale will be the one in effect and online at the time of the Customer’s order placement.

 

ARTICLE 4 – CUSTOMER ACCOUNT

The Customer must have a Customer account to order Products from AAA. If the Customer is new to AAA, it must request a new Customer account by contacting a sales representative of AAA.

Before any opening of a new Customer account, AAA reserves the right to demand the following information of the Customer in order to verify its status as a company and to trade with the Customer:

  • Documental proof for the company registration;
  • Bank identity form;
  • Name, email and telephone number of the person in charge of communicating with AAA for the Customer’s orders;
  • Invoice and delivery address.

Without such information, AAA reserves the right to deny or cancel the Customer’s demand to create a Customer account.

The Customer has the right to, with a written notice, demand AAA to delete its account. This notice is to be sent by email to contact@architects-artists-and-artisans.com.

 

ARTICLE 5 – PROMOTIONAL AND ADVERTISING COMMUNICATIONS

Upon the creation of its Customer account, the Customer agrees to receive emails, phone calls or physical material which AAA sent to the Customer for promotional or advertising purposes. The Customer, by default, also agrees to be visited at their business premises by a business representative of AAA.

The Customer reserves the right to, with a written notice, refuse to such communication. This notice is to be sent by email to contact@architects-artists-and-artisans.com.

The removal of the Customer account, by default, disables such communication.

 

ARTICLE 6 – STOCK

AAA holds the property of Products in its logistic center based in mainland China. After the creation of Customer account, AAA grants the Customer access to Product catalogs for professionals, AAA Products archives and Product photos. The estimated quantity of Products in stock is provided along with the catalog.

The Customer acknowledge that the stock quantity is constantly changing due to regular inventory and sales, for which AAA cannot be held responsible for the veracity of the estimated quantity in stock listed in its catalogs.

 

ARTICLE 7 – ORDER REQUEST, SOURCING AND QUOTATION

The Customer who wishes to order shall open an order request by email or by filling the contact from on https://architects-artists-and-artisans.com. The order request shall include:

  • SKU of the Product;
  • Quantity of the Product that the Customer wishes to order;
  • Means of transportation that the Customer wishes to take (by ship or by air).

In case that the Product is made by AAA and the SKU is unknown to the Customer, in order to open up an order request, the Customer shall share, instead of the SKU:

  • One or more photos, or detailed description about the color and the size (length, width and height), all parts included.

In case that the Product has never been made by AAA, but is similar to one of AAA’s SKUs, in order to open up an order request, the Customer shall share with AAA:

  • SKU of the product, or one or more photos;
  • Size (length, width and height), all parts included;

In case that the Product has never been made by AAA, and is not similar to AAA’s Products, in order to open up an order request, the Customer shall share:

  • One or more photos;
  • Information regarding the color (by sharing the Pantone code);
  • Size (length, width and height), all parts included;
  • Material;
  • Finish (glossy or matte).

In all cases, AAA reserves the right to deny the order request if the Customer is unable to share those information. AAA cannot be held responsible for the non-conformity of Products caused by the misjudgment on the side of the Customer regarding these information.

If the total order amount in the order request is less than five thousand euros (or the equivalent amount in any other currency), AAA reserves the right to deny the order request.

 

ARTICLE 8 –QUOTATION AND SOURCING

Upon the reception of the order request from the client, AAA takes the necessary measure to determine if the Products in the order request are in stock. If all the Products in the order request are currently in stock, the Customer shall receive within one to two working days after the submission of the order request a quotation from AAA including:

  • Cost of Products that the Customer wishes to order;
  • Cost of transportation of the goods;
  • Transportation lead time.

If one or more Products in the request is currently not in stock, the request will be processed in two parts. For the part in stock, the condition remains the same. For the part not in stock, the Customer receives a message from AAA to ask for the permission to replace them with in stock Products. If the Customer accepts, within one to two working days after the submission of the request, the Customer shall receive a list of Products in stock that AAA recommends.

If the Customer declines, and requests AAA to produce these Products, AAA launches a sourcing query that will last for fourteen days during which AAA works with its suppliers to study the possibility of production after which AAA returns to the Customer with a quotation with the following additional information:

  • One or more photo;
  • Size (length, width and height), all parts included;
  • Material;
  • Minimum Order Quantity of supplier In case the quantity proposed by the Customer does not reach;
  • Production lead time;
  • Sampling lead time;
  • Country of origin.

In case that AAA and its suppliers fails to see the possibility of production, AAA informs the Customer and close the order request for this Product.

 

ARTICLE 9 – SAMPLING

Both sampling and production are specific procedures which only concerns Products that have never been made by AAA. Products with SKUs existent in AAA’s archive are not concerned without formal and written acceptance on the part of AAA.

If the Customer accepts the quotation, AAA launches automatically the sampling process. The quantity to be made is to be negotiated with the customer and is subject to the maximum quantity of sampling of AAA’s suppliers.

Samples are to be sent by train or by air to the Customer under the incoterm of DDP. The estimated delivery time is around 7 days. The Customer has the right to demand AAA to modify and resend the sample for one or more times. If the customer agrees upon the quality of the samples received, AAA launches order confirmation process. If not, the order request shall be cancelled.

The payment terms for the sample production and for the sample shipment are to be negotiated.

 

ARTICLE 10 – NEGOTIATION, ORDER CONFIRMATION, MODIFICATION AND CANCELLATION

Once the Customer indicates the willingness to confirm the order, a negotiation would engage between both parties to determine the following terms of this order:

  • Payment terms;
  • Packing instructions;
  • Means of transportation;
  • Incoterm of delivery.

In case that the Customer has already negotiated and signed with AAA default terms about these conditions, the default terms would automatically apply unless the customer insists to re-negotiate.

After negotiation, in agreement between the two parties, AAA sends an order confirmation to the Customer for validation by signature, stamping, or writing. AAA will also sign the Customer’s purchase order if needed. This process marks the confirmation of the order.

After the confirmation, both parties have no right to modify or cancel the order unless:

  • An act of violation of the terms negotiated and signed between both parties occurred during or after the order confirmation process;
  • The order has been affected by force majeure.

 

ARTICLE 11 – PACKAGING AND DELIVERY

After the packaging process, the order is packed and delivered to the Customer’s delivery address from AAA’s logistic center in China under the terms negotiated and signed by both parties before the order confirmation, unless the Customer has already obtained a written approval to modifying such condition(see article 10). AAA shall not be held responsible for the delay or financial loss of the Customer resulting from its failure to inform AAA in time of the modification that the Customer wishes to.

For products in stock, the packaging process takes two to three days after the order confirmation unless the order was placed during the Chinese New Year festival. In terms of products not in stock, the provided product lead time already includes the packaging time.

The production lead time and the transportation lead time in quotation and order confirmation are the result of estimation and are not guaranteed by AAA.

 

ARTICLE 12 – REFUND OR EXCHANGE

Refund or exchange of Products are only permitted when the Products delivered to the Customer with damages that can be visually observed. The Customer shall write to buying-transport@architects-artists-and-artsans.com with the following element to submit a request for refund or exchange:

  • One or more photos of each one of the damaged products;
  • Whether the Customer wishes a refund or exchange;
  • Quantity of products that the Customer wishes to refund or exchange;
  • The means of transport that the Customer wishes to choose in case of exchange.

The request is to be processed within 7 days upon the receipt. AAA reserves the right to deny the under one of the following circumstances:

  • The damaged area is smaller than two square-centimeters;
  • The damage does not affect the usage of the product.

In case of an accepted refund, the transfer is to be processed within 2 days. In case of an accepted exchange, a new order would be created by AAA with no commercial value for the goods, but with transport charges that the Customer undertakes.

 

ARTICLE 16 – SEVERABILITY OF CLAUSES

If any clause of the General Conditions becomes null, unenforceable, void, illegal, or inapplicable due to a law, regulation, or following a final decision of a competent court, the validity, legality, and enforceability of the other provisions of these General Conditions will not be affected. The Customer will remain bound to fulfill their contractual obligations and cannot claim any exemption from liability.

 

ARTICLE 17 – NON-WAIVER

The fact that AAA does not invoke any provision of the General Conditions at a given time cannot be interpreted as a waiver to invoke it later or to hinder AAA’s exercise of any other right or privilege.
